All inquiries, orders, and communications initiated through the website or via direct contact with Soomé are governed by these Terms. Whether you are engaging as a partner, placing a bulk or group order, or contacting Soomé as an individual consumer, access to the website does not constitute a contractual purchase. Any orders or agreements are subject to acceptance and the terms outlined in individual agreements with Soomé.
2. Product Information
Soomé strives to provide accurate descriptions, specifications, and images for all products. However, product details, pricing, and availability are subject to change. Partners, bulk purchasers, and consumers should confirm product specifics and pricing through their Soomé representative or in the applicable agreement.
3. Ordering and Payment
All orders are subject to acceptance and governed by the terms set forth in individual agreements. Payment terms, schedules, and methods are established in each agreement. Late payments may incur fees or interest as specified in the agreement. Individual consumer inquiries do not create automatic orders; all transactions require confirmation from Soomé.
4. Shipping and Delivery
Shipping timelines and logistics are defined in the applicable agreement. Unless otherwise specified, risk of loss transfers to the purchaser upon shipment. Soomé is not responsible for delays caused by carriers, customs, or events beyond reasonable control.
5. Returns and Refunds
Returns, exchanges, and refunds are handled in accordance with the terms specified in the applicable agreement. Partners, bulk purchasers, and consumers should refer to their agreement or representative for details.
6. Confidentiality
All parties agree to maintain the confidentiality of proprietary information, business plans, pricing, and trade secrets shared in connection with any partnership, order, or inquiry.
7. Intellectual Property
All intellectual property, including Soomé products, trademarks, and marketing materials, remains the sole property of Soomé. Use by partners, bulk purchasers, or consumers requires prior written approval and must comply with Soomé branding guidelines.
8. User Conduct
Partners, bulk purchasers, and consumers agree to use Soomé products and brand responsibly, and not to engage in activities that may harm Soomé’s reputation or violate applicable laws.
9. Limitation of Liability
To the fullest extent permitted by law, Soomé’s liability is limited to the amount paid for the relevant product or service. Soomé is not liable for indirect, incidental, consequential, or special damages, including lost profits or business interruption.
10. Indemnification
Partners, bulk purchasers, and consumers agree to indemnify and hold harmless Soomé, its affiliates, officers, and employees from claims, damages, or losses arising from misuse, breach of agreement, or violation of these Terms.
11. Termination
Either party may terminate an agreement according to its terms. Upon termination, any outstanding obligations, including payments and return of materials, must be fulfilled.
12. Force Majeure
Neither party is liable for failure or delay caused by events beyond reasonable control, including natural disasters, pandemics, supply chain disruptions, civil unrest, government actions, or strikes.
13. Governing Law
These Terms and all related agreements are governed by the laws of the State of California. Any disputes shall be resolved in the courts of California.
14. Changes to Terms
Soomé may update these Terms as necessary. Partners, bulk purchasers, and consumers will be notified of material changes, and continued engagement constitutes acceptance.
